WEB3 Wallet – Terms of Use

Welcome to the Terms of Use for the use of the WEB3 Wallet in the Jobgrader App.
Jobgrader UG, Münchener Straße 45, 60329 Frankfurt am Main, (“Jobgrader”, “we” or “us”), operates mobile application the Jobgrader (“Jobgrader” or the “App”), which offers a combined Smart ID Wallet and WEB3 Wallet (“Wallet”,”Wallets”) for Users. In addition to managing your Smart ID Wallet, you get access to the marketplace and chat. Furthermore, you can create and manage your WEB3 Wallet in the app.
Wallets are the requirement for interacting with crypto assets such as sending, receiving and storing cryptographic currencies, non-fungible tokens (NFTs) or other crypto assets. In this context, data traffic is processed via the blockchain and is secured on it in a similar way to a database system. You gain access to your crypto assets with the help of your private key. Jobgrader offers you with the WEB3 Wallet the means to access and manage your assets. However, we do not store any of your transaction data on the app, it is on the blockchain. The WEB3 Wallet is a so-called “non-custodial” wallet (sometimes also called “self-hosted wallet” or “private wallet”).  You retain sole control over your seed phrase and private keys.
Additionally, the app allows you to access and link to third party decentralized applications (“dApps“) on our marketplace, as well as connect to marketplaces that support the buying and selling of NFTs, as well as visually display your own owned NFTs and cryptocurrencies.
These Terms of Use contain a brief summary of the agreed-upon rules between Jobgrader and you regarding the use of the WEB3 functionalities in the App. In order to set up and use the WEB3 Wallet, you must agree to these terms, so we ask you to read them carefully. Scope of these Provisions

Your WEB3 Wallet allows you to make transactions with cryptocurrencies and other crypto assets on blockchains and other compatible networks and apps. Trading and interacting with cryptocurrencies as well as interacting with third-party dApps involves increased risk, as cryptocurrencies are inherently volatile and are sometimes an unregulated market with no clear corporate affiliations. We would like to inform you that creating access to WEB3 functionalities does not constitute a recommendation from us to buy, sell or hold cryptocurrencies. Therefore, we recommend you to do careful research by consulted financial advisors before making any investment decisions. We do not guarantee your interaction with cryptocurrencies or their performance. Therefore, you trade at your own risk.
The Jobgrader WEB3 Wallet enables your access to the Metaverse, Decentralized Finance Applications (DeFi), NFTs and related activities in WEB3. These Terms of Use illustrate your uses of the Jobgrader WEB3 Wallet and your responsibilities in using it.

Your Responsibilities

You are responsible for all activities that occur under your Jobgrader account, except for violations of this Agreement caused by us. To protect your account, we remind you to always ensure that it is secure from unauthorized access.
You are responsible for your use of the Services in the Wallet and must therefore be able to ensure that you do not violate any applicable laws in doing so. By agreeing to these Terms of Use, you agree to use our Services only as permitted by law. Violation of these or legal provisions will result in appropriate measures and also entitle us to block your user account. The suspension only affects the use of the Wallet and not the collection of your crypto assets.
Also, the responsibility of the configuration of your account lies with you. Therefore, we would like to remind you to take appropriate measures to ensure its security. For this purpose, we recommend regular checks and backups. You are responsible for ensuring the security of your private keys and all Seed Phrases associated with your Wallet, as a loss may also result in the loss of control over the virtual currencies associated with the Wallet. We cannot assist in the recovery of the Seed Phrase and Private Keys. Basically, the storage of the Seed Phrase takes place exclusively at your end, which is why the recovery by us is not possible.

Services

Jobgrader offers you:

The creation of one or more WEB3 wallets. This includes the creation of a non-custodial wallet where the seed phrase itself must be stored.
The generation and custody of the associated private and public keys required for sending and receiving as well as signing transactions.
The possibility to save your seed phrase via “Paper Backup” or “Cloud Backup” and to protect yourself against a loss of your smartphone etc.. You can find more details about this in the section “Recovery information”.
The purchase of cryptocurrencies via a connected service provider directly within your WEB3 Wallet.
The exchange of your cryptocurrencies into any other cryptocurrencies by a third party connected by us inside the WEB3 Wallet.
The Jobgrader marketplace through which you can use the wallet to connect to the third-party dApps inside it.
Connection with other dApps that can be used via the connected service of “WalletConnect”.
Setting up your Wallet
To set up your WEB3 Wallet, you first need to download the Jobgrader app from the App Store or Google Playstore. In order to access all functionalities, including the WEB3 Wallet, all users must complete the registration process. More detailed information about the process can be found under this link in our Jobgrader terms of use.

Then, via the app navigation bar under “Wallet”, you can set up your WEB3 Wallet under the category under the same name.
In the next step, you will receive your seed phrase, which consists of 24 words. Once again, we remind you to always protect it from unauthorized access and in case of loss, your crypto assets will be lost forever. To back up the seed phrase, the app provides you with either the so-called “Paper Backup” or “Cloud Backup”.
Upon successful completion of the backup, you will gain full access to your WEB3 Wallet.
To set up your wallet, you must be at least 18 years old.
Fees and Payment
The Jobgrader app can be downloaded for free from the App Store or Google Playstore. The registration and creation of a Jobgrader account as well as the setup of your WEB3 Wallet is also free of charges.
However, we reserve the right to charge fees in the future for the services we provide. In that case, the applicable fees will be displayed before you charge for the service.
Fees may apply when using services within the app that are offered and performed by third parties. Furthermore, transaction fees, also called “gas fees” or other fees may apply when sending transactions or interacting with dApps. Transaction fees can vary widely depending on the network and workload, and you should inform yourself in advance about the costs involved. Jobgrader is not responsible for the fluctuation of transaction fees or the failure of transactions.
Third Parties
Under the category “Crypto & WEB3”, the marketplace lists, among others, dApps that you can access using the wallet. The dApps listed are not an exclusive list of those that are compatible with the WEB3 Wallet.
Reference to third party services on our marketplace does not constitute an endorsement of their use. We do not monitor third party content and reserve the right to add, replace or remove them from the marketplace.
The dApps and other crypto asset trading platforms are provided by third parties and trade independently of us. Even though we facilitate access to the dApps, we do not take any responsibility for them.
When using the services of our third-party providers, please note that they are subject to their own separate terms and conditions, over which we do not have any influence. Therefore, we recommend that you also take note of their terms of use before using them.
Since your wallet may not be compatible with all dApps and crypto exchanges, we also recommend that you check this before making transactions via the wallet. We do not take any responsibility for any losses.
Beyond the dApps on our marketplace, you have the opportunity through our partnership with WalletConnect to use all the services they integrated in their website/app/service. Again, we do not take any responsibility for the linked services and their terms. Therefore, we recommend doing your own checks before using them. Information about your Wallet recovery

Before your Seed Phrase is provided to you, you need to choose one of the backup options that will restore access to your crypto assets, for example, if you lose your smartphone or for similar reasons that limit access.
Paper Backup
If you decide to do a paper backup, the next step is to write down your seed phrase on a piece of paper and keep it safe. You should pay special attention to write down the words correctly, legibly and in the right order and keep it in a safe place.
Cloud Backup
You are also free to use the Cloud Backup, which allows you to save an encrypted file of your seed phrase. If you decide to use the Cloud Backup, a modal window will open in the next step. By clicking on this window you get the possibility to upload your seed phrase to a cloud of your choice or to save it locally on your smartphone. You should pay special attention to the fact that the access is safe from unauthorized persons. Restoring your wallet using our encrypted cloud backup is only possible with the Jobgrader app and not via an external script, another app or another service provider.

Termination

You are free to revoke your consent to these Terms of Use at any time. The revocation means the immediate termination of the use of WEB3 Wallet.
Likewise, we are free to terminate your use with immediate effect if you violate any of the terms of use of the Wallet set forth herein or any existing legal requirements.
In case of termination, only the right to use the WEB3 Wallet will be revoked. Since your crypto assets are stored on blockchain and not within the wallet, they remain unaffected. You can still access your crypto assets using your private key. However, access is no longer supported by the Jobgrader WEB3 wallet and requires the transfer and import of your seed phrase to another crypto wallet service provider.
The transfer is done in 5 simple steps and can be applied by you as well to transfer your existing wallet to Jobgrader:

Download a backup wallet
Go to settings
Find the option “Import key/wallet”
Enter the seed phrase
Click on Import
Liability

We shall endeavor to keep the App, Services and Functionalities available at all times. Jobgrader warrants that it will make the App available 95% of the time at an annual average. Necessary maintenance work will be carried out as far as possible during night hours. Necessary maintenance work is not taken into account when calculating the annual average. If the App, Services or Functionalities are unavailable due to Internet or network failures and in particular due to technical or other problems beyond our control, we shall not be liable for such downtime.
Jobgrader allows you to access dApps and similar networks that are compatible with your Wallet but are not within our control. We can therefore not grant any responsibility for the function and availability for the third party apps.
In case of abusive or illegal use of the Services or the App, we are entitled to block your Account and restrict the use of the Services and/or Functionalities.  Furthermore, we may block your Account or temporarily stop or restrict your use of the Services or the App at any time, if and due to the extent that this is necessary for the security of the App and/or the systems used for its operation or the User Data stored on the App.

Closing Provisions

We reserve the right to change these Terms of Use, e.g.,in the event of a change in the legal situation or additions to our services. The amended Terms of Use will be sent to you by e-mail or displayed when log in. Furthermore, we will inform you about the effective date of the changes. This is also the beginning of a six-week first period to object to the changes. The objection must be done in written form, i.e. at least by email, and can be made via contact@jobgrader.app. If this is not done within the set period, the amended Terms of Use are deemed to be agreed. Please note that we will have to delete your user account on Jobgrader in the event of an objection.

In the event that complaints and other disputes cannot be resolved directly between you and us, we inform you that German jurisdiction shall have priority, to the exclusion of the conflict of laws provisions. The local and subject matter jurisdiction lies with the German courts (preferably the courts in Frankfurt am Main). The applicability of mandatory consumer protection regulations remains unaffected.
Should a provision of these Terms of Use prove to be invalid, unlawful or unenforceable, this shall not affect the validity, legality and enforceability of the other provisions of these Terms of Use. The parties undertake instead to replace the invalid stipulation with a valid regulation which comes as close as possible to the purpose originally intended.

Jobgrader is neither prepared nor obliged to participate in dispute resolution proceedings before a consumer arbitration body in accordance with the German Consumer Dispute Resolution Act (Verbraucherstreitbeilegungsgesetz).
These Terms of Use (as well as the “Jobgrader Privacy Policy” and “Jobgrader Third Party Sharing Policy“) were created in German and English for your use. If there are any discrepancies regarding the content of the texts, the German language version is binding.
